Shield AI Raises $1B Series H at $28.8B for Autonomy Software, and Buys Echodyne for $5.3B
The autonomy company decided its AI pilot needs better eyes, and it is paying for them. Shield, the San Diego defense company better known as Shield AI, announced on Nov 5 a $1 billion Series H at a $28.8 billion post-money valuation, as part of a $2.5 billion raise to buy radar maker Echodyne in a deal valued at $5.3 billion.
The round details, from Shield's release: the Series H is co-led by Disruptive and Innovation X Capital, with Advent, the Strategic Investment Group of JPMorganChase's Security and Resiliency Initiative, Snowpoint Ventures, Apandion and Center15 Capital. On top of that come a $1 billion structured equity investment from Blackstone funds and $500 million in debt led by JPMorgan. Series H proceeds go principally to the acquisition. Of the $5.3 billion, $4.8 billion is paid at closing and up to $500 million depends on Echodyne hitting performance targets. Closing is expected in early 2027, pending regulators.
Shield's core is Hivemind, autonomy software that flies aircraft without a pilot or GPS, plus the V-BAT and X-BAT drones and Aechelon simulation. In October Honeywell flew its first autonomous aircraft six weeks after starting Hivemind training. Echodyne makes compact solid-state MESA radars used in counter-drone systems in more than 40 countries, with a $250 million ceiling contract from the Pentagon's counter-drone task force, and a new factory in Kirkland, Washington that can make about 30,000 radars a year. Both companies say they expect triple-digit revenue growth this fiscal year.
Why it matters beyond defense: Echodyne's CEO put it well, autonomous systems can only act on what they can sense. Shield is turning into a stack: perception, autonomy software, airframes, simulation. That's the same vertical move the agent world keeps making, owning the sensors and the environment, not just the policy. For anyone who thinks autonomy is a pure software play, a $5.3 billion radar purchase is a strong counterpoint.
This round was announced Nov 5; we're covering it now under our new rule of reporting every funding round of $10 million or more in any sector.
