Cognition Raises $2B Series E at $48B: Coding Agents Are Not Winner-Take-All

Cognition, the company behind Devin, closed a $2 billion Series E at a $48 billion valuation on September 8. The round was led by a16z, Accel, Founders Fund, General Catalyst and Avenir, with a syndicate long enough to read like an index fund: Benchmark, Bessemer, Kleiner Perkins, Greylock, Lightspeed, Altimeter, Bond, Meritech, T. Rowe Price, Lux, 8VC, D1, DST, NVIDIA, Bain Capital Ventures, Alpha Wave, Alkeon and more.

The velocity is the story. In May, Cognition raised $1 billion at $25 billion pre-money with run-rate revenue of $492 million. Four months later: run-rate around $900 million, valuation nearly doubled, and the round itself grew from a reported $1 billion target to $2 billion. Bloomberg had this at "$1B at $47B" a week ago; it closed bigger on both numbers.

TechCrunch's framing is the one that matters for the market map: investors are now explicitly pricing AI coding as a multi-winner category. Cursor's exit, Claude Code's growth and Codex's distribution didn't shrink Cognition's multiple - they expanded it. The bear case is in the same filings-adjacent reporting: burn estimated around $800 million a year, much of it NVIDIA server leases, and a push to train proprietary models to get off third-party APIs. At $48 billion, the market is betting that a company whose product consumes frontier models can out-earn its own inference bill.
